Ive got a box, running a few vms. The mobo refuses more than 2gb ram, but the cpu is pretty idle, about 5-10%

Can i get a new 775 mobo and 4gb ddr 2 1066 ram and put the cpu in it?

Yeah, man. Can't see why not. Go to the mobo OEM website and check CPU support. They are always comprehensive.

Actually the biggest prob I see is getting more DDR2 1066 RAM - do you already have some laying around?

Have you checked for a BIOS update for your motherboard to increase the amount of RAM it can support?
